VAT registration vs buying a VAT registered company

Both routes end with a live VAT number. The difference is how long it takes and how much scrutiny you face along the way.

Registering yourself

Any UK company can apply for VAT registration online. HMRC aims to process most applications within a few weeks, but applications from new companies, non-resident directors or high-risk sectors are often selected for pre-registration checks, which can add weeks or months and involve requests for contracts, invoices and bank statements that a brand new business may not have yet.

Buying a VAT registered company

The registration already exists, so there is no application queue. What remains is the change-of-details notification to HMRC, which is a simpler process than a fresh application. HMRC can still ask questions about the new owner, and you must answer them honestly.

Risks to weigh

  • A VAT number is not a licence to reclaim VAT on anything: input tax rules still apply
  • HMRC can cancel a registration it believes is not being used for a genuine business
  • Late or missing returns after transfer lead to penalties for the new owner
  • A registration bought from a seller who skipped due diligence can carry problems you cannot see

If your launch depends on issuing VAT invoices or passing marketplace onboarding in the next few weeks, a VAT registered company is worth the premium. If you can wait, register yourself and put the money into the business.
