Shelf company vs new incorporation

Both routes give you a clean company. The right choice depends on your deadline, your budget and whether age matters.

The honest summary

If you have no deadline and no need for an earlier incorporation date, registering a new company is usually the cheapest route. If you need an entity now, or the age of the company matters to a tender, supplier or counterparty, a shelf company earns its price.

Speed

A shelf company already exists, so you only wait for due diligence and the transfer filing. A new incorporation depends on the registry: hours in the UK or Estonia, but weeks in some notary-based systems where capital must be paid in and the court must approve the entry.

Incorporation date

This is the one thing a new company can never offer. If you need a company that is already two, five or ten years old, only an aged shelf company will do. Remember that age is not trading history, and must never be presented as such.

Cost

A shelf company costs more than a new registration because someone has paid to form it and keep it compliant, sometimes for years. In return you avoid waiting time and, in some countries, the administrative effort of paying in share capital and attending appointments.

Flexibility

With both routes you end up with your own name, directors, shareholders, address and business activity. With a shelf company these are changed at transfer rather than chosen at formation. The result is the same.

Risk

The risk with a shelf company is a poorly maintained one. Insist on a filing history you can verify, written confirmation that the company never traded, and a seller that completes proper due diligence on you. A seller that skips checks is cutting corners elsewhere too.
